Terms of service

1. Services

Voctus produces e-learning deliverables — including presenter-led video lessons, localized language versions, assessments, and SCORM packages — from materials supplied by the client. The specific deliverables, timeline, and price for each engagement are defined in a written statement of work ("SOW") issued before work begins.

2. Quotes and payment

The binding price for each engagement is the one stated in your SOW; market figures referenced on voctus.studio are third-party benchmarks, not our quotes. Unless agreed otherwise, engagements are invoiced 50% on commissioning and 50% on delivery. Pilot modules are invoiced on delivery.

3. Client materials and approvals

The client warrants it holds the necessary rights to all materials supplied for production. Production proceeds in approval stages (script, then finished modules); approval at each stage authorises the next. Revision rounds are as stated in the SOW.

4. Intellectual property

Upon full payment, all finished deliverables and their source files are assigned to the client. Voctus retains no rights in client deliverables and does not reuse client materials or deliverables in other engagements. Voctus retains its own pre-existing tools, processes, and know-how.

5. Confidentiality

All client materials are treated as confidential, used solely for the engagement, and deleted on written request after handover. A mutual NDA is available before any material transfer.

6. Warranties and liability

Deliverables are provided to professional production standards and to the specifications in the SOW. To the maximum extent permitted by law, Voctus's aggregate liability under an engagement is limited to the fees paid for that engagement, and neither party is liable for indirect or consequential loss.

7. Governing law

Services are provided by Kaiak LLC (a United States limited liability company) trading as Voctus Studio. These terms are governed by the laws of the United States and the state in which Kaiak LLC is organized, unless an SOW specifies otherwise. Disputes are first addressed in good-faith negotiation.
